Your Mission We are looking for a seasoned, self-driven, and results-oriented Senior Corporate Counsel to join our fast-paced, multinational Legal Department. In this role, you will provide extensive support on many strategic initiatives, including compliance with applicable securities laws, regulations, and filing requirements. Successful candidates are trustworthy, dependable, self-driven, detail-oriented, work well independently and with others, and enjoy managing multiple complex projects in a fast-paced, start-up atmosphere.
What you'll do at UiPath- Overall accountability for preparing and filing of SEC-required documentation, such as Forms 10-K, 10-Q, and 8-K, Section 16 documentation and other registration statements and regulatory disclosures, managing EDGAR codes, and maintaining and updating exhibits to quarterly and annual filings.
- Advise on public company reporting and other regulatory and stock exchange requirements, including preparation of board and shareholder meetings, consents, and minutes.
- Collaborate with external securities counsel as needed, including external communications associated with earnings and press releases, as well as compliance with SEC and NYSE rules and regulations.
- Partner with cross-functional teams for financial reporting, investor relations matters, and balance sheet management projects with our Treasury department, including equity and debt offerings.
- Manage the Company’s statutory insider lists, maintain the Company’s blackout calendar, and prepare and send communication of insider trading windows.
- Support annual shareholder meeting process, including preparation of proxy statements; management of D&O questionnaire process, annual board, committee, and director self-assessments; and coordination of proxy solicitor, transfer agent, proxy mailing activities, meeting logistics, and agendas.
- Manage requests for information and documents from internal and external auditors, partners, and other stakeholders for quarterly and annual audit update letters and responses.
- Develop and implement appropriate policies, procedures, and trainings to ensure company-wide compliance with applicable securities laws and regulations.
What you'll bring to the team- 5-7 years of relevant securities law experience at a large law firm and/or publicly traded company.
- Prior experience counseling public companies is required.
- Prior in-house experience is a plus.
- Have a strong working knowledge of Sarbanes Oxley, ’33 and ’34 Act reporting, NYSE and NASDAQ rules and regulations.
- Exhibits a high degree of professionalism, pragmatism, and trustworthiness with a demonstrated ability to handle highly confidential information with discretion.
- Ability to balance managing workloads with stakeholders’ demands and competing and shifting priorities, while meeting deadlines and delivering results within a fast-paced, rapidly evolving environment.
- Commercial contracting and negotiation experience, particularly SaaS and other technology licensing and related agreements, is highly desirable but not required.
- Maintains a positive “can-do” attitude and strong sense of ownership over duties and responsibilities, and consistently delivers quality work on time.
- Self-motivated, strong communicator, and able to work well both as a team and independently.
- Strong organizational and project management skills required.

Pay TransparencyThe anticipated base salary range for this position is between $187,500 and $281,250. Base salary ranges may vary by geographic location and relevant experience, education, certifications, and seniority as compared to others doing substantially similar work. There is no guarantee an offer will be at the top of the posted range based on the salary analysis.
