What you will be doing:
As a paralegal in the Diligence team you’ll have responsibility for the due diligence and completion of funding rounds on Crowdcube. You’ll work closely with all other departments including the Campaigns, Commercial, Investor/CX and Closing teams.
Day to day you will:
Carry out due diligence on companies looking to raise funds through Crowdcube.
Review and carry out due diligence on campaigns submitted by companies to prepare these for the financial promotion approvals process.
Review transaction and constitutional documentation, including Shareholders Agreements, Articles of Association, Subscription Agreements, Convertible Loan Agreements.
Review Commercial and financial supporting documentation provided by companies to verify their pitch content.
Draft key information documents, risk factors, board minutes, shareholder resolutions and other corporate documents.
Manage the completion and post-completion process, including checking closing conditions/conditions precedent.
Work closely with the Closing and Campaigns team to ensure effective transfer of information to avoid duplication of questions through the process.
If required, assist Crowdcube’s Funded Community, with on-going corporate actions, including shareholder votes, pre-emption, and exits.
Ideally you will have:
High Level of English (written and spoken).
High level of French and Spanish (not required but highly valued).
Paralegal or Newly Qualified lawyer.
Experience in managing transactions, ideally in a corporate or finance environment
Knowledge of finance (review of annual accounts, forecasts, business plans & financial ratios).
Legal due diligence and negotiation of transaction documents.
Experience working in-house.
And you will be:
Comfortable making risk-based judgments that are commercially sound, balancing the interests of Crowdcube, investors and raising companies.
Have strong organisational skills and be comfortable working on multiple tasks and deals at once.
Happy to embrace technology and product changes, such as AI, to find work efficiencies.
Solutions focussed and a problem solver.
Used to working in a fast-paced and ever changing environment and know when to fight for the right thing and when to say no.
Great at building relationships with external and internal clients, you know how to listen to and influence others so that expectations are managed and the right outcomes are met.

- €26,000 - €30,000 (Depends on Experience).

Our interview process typically consists of an initial phone screen, an interview with the hiring manager and a task, followed by a final interview with other members of the team. There aren't any trick questions and the task will typically be based on a real scenario the team have worked on.
